Letter of Intent to Purchase – Coco Blue Resort Development (Plot No. 4-D-3054)


Dear Mr. Clarinda,


I hereby submit this Letter of Intent (LOI) through your Real Estate Agent Mi Kas Realty N.V. to express my interest in purchasing a residential or commercial unit from the Coco Blue Resort project, to be developed on Plot No. 4-D-3054, consisting of 7,355 square meters of long lease land located in Kralendijk, Bonaire, Dutch Caribbean.


This letter serves to outline the preliminary terms under which I intend to enter into a formal agreement for the acquisition of the selected property, subject to legal due diligence, technical review, and mutual execution of a binding Sale and Purchase Agreement (SPA).


I. The Buyer


An individual/entity with legal capacity to purchase real estate in Bonaire, hereby expresses intent to acquire a property unit within the Coco Blue Resort project.


II. The Seller


The Seller is Bonairian Building Consortium B.V., represented by Ing. Angelo G. Clarinda, with its principal place of business located at Kaya Gob. N. Debrot Kralendijk, Bonaire, Dutch Caribbean. The company is registered at the Chamber of Commerce.


III. The Transaction


The Buyer agrees to purchase from the Seller one or more of the following units, as part of the Coco Blue Resort development. The Buyer shall select one or more units from the list below and pay the corresponding Purchase Price, to be determined and confirmed in the final binding agreement.

Due Diligence

Due Diligence and Agreement Timeline

Upon successful review, a binding Sale and Purchase Agreement (SPA) shall be negotiated and signed. A deposit and payment schedule shall be outlined in the final SPA. 


Exclusivity

During this period, the Buyer has priority to finalize the transaction for the selected unit(s).

This Letter of Intent is non-binding and intended only to outline the basic terms of understanding. It shall not constitute a legally enforceable obligation until a formal Sale and Purchase Agreement has been executed by both parties.
