T1. Purpose of the LOI

This LOI confirms the Buyer's intention to purchase a residential unit in the Aqua Viva Suites project in Kralendijk, Bonaire, under the terms and conditions described below. The LOI serves as the basis for drafting the final purchase agreement.

2. Project Description

Aqua Viva Suites is an exclusive collection of boutique residences, centrally located in Kralendijk. The project combines luxury island living with attractive rental returns through mandatory participation in the professional rental pool program.


Key Features:

Location: Near the Van der Valk Hotel, boulevard, restaurants, and diving shops


Amenities: Swimming pool, jacuzzi, garden with BBQ, massage & beauty services, private parking, Wi-Fi, airport shuttle, room service & on-site dining


Distance: 1.2 miles from Flamingo International Airport, walking distance from Te Amo Beach


Financial Structure

Phase 1 – Immediately Available (Move-In Ready)

Upfront payment of purchase price + 8% ABB tax + buyer's costs


Phases 2-4 (Pre-Sale, completion November 2027)

Flexible payment plan in 3 installments:

30% down payment + 8% ABB tax

40% interim payment + 8% ABB tax

30% final payment upon completion + 8% ABB tax


Rental Pool Program

Participation in Aqua Viva's professionally managed rental program is mandatory.

Aqua Viva provides management, marketing, and guest services.

The buyer receives passive rental income pro rata to their participation.


Terms & Conditions

This LOI is non-bding and intended as a declaration of intent.


The final purchase will be recorded in a formal purchase agreement.

Due Diligence

Due Diligence and Agreement Timeline

Upon successful review, a binding Sale and Purchase Agreement (SPA) shall be negotiated and signed. A deposit and payment schedule shall be outlined in the final SPA. 


Exclusivity

During this period, the Buyer has priority to finalize the transaction for the selected unit(s).

This Letter of Intent is non-binding and intended only to outline the basic terms of understanding. It shall not constitute a legally enforceable obligation until a formal Sale and Purchase Agreement has been executed by both parties.
